Calterah Semiconductor Technology (Shanghai) Co., Ltd. (hereinafter referred to as “Calterah” or “the Company”) is committed to becoming the world’s most outstanding mmWave radar chip and solution provider, providing global users with higher-performance, easier-to-use, and more power-efficient mmWave radar technology and contributing to a safer and smarter social environment. In pursuit of our mission of Make Millimeter-Wave Serve Everyone, we will continue to develop a corporate culture featured by fair, just, and highly transparent business activities, and abide by international rules, relevant laws, social ethics, and various regulations and processes of the Company, striving to become a corporation that can be trusted by all stakeholders including customers, shareholders, business partners, and employees and their families, and a company that continues to serve and benefit the society and is in harmony with individuals, the industrial chain and the environment.

 

[Respect for human rights, no child labor, non-discrimination, and non-harassment] Abiding by international rules on human rights protection, we always respect fundamental human rights and human dignity, uphold religious freedom, and prohibit discrimination based on nationality, gender, physical characteristics, and age. We support the prohibition of forced labor and child labor and also require our business partners to do the same. We are striving to establish a corporate environment free of discrimination, corporal punishment in all forms, and harassment and abuse of any kind, including physical, sexual, psychological, and verbal.

 

[Fair trade] We will strive to eliminate anti-competitive, fraudulent, or unfair practices and relevant suspicious behaviors to achieve fair competition and trade under the principle of free competition. We will conduct fair trade with business partners based on contracts, etc., and never take advantage of our dominant position as the buyer or the entrusting party in the transaction to force the other party to accept specific conditions or unequal transactions, or pursue personal interests.

 

[Anti-commercial bribery] We always stick to honesty in operation, abide by business ethics, comply with the anti-commercial bribery laws and regulations at the place where the Company operates, and adopt a “zero tolerance” attitude toward corruption. Moreover, we have established and maintained an internal whistleblowing system to encourage employees or third parties to provide clues and report in a timely manner when discovering internal personnel have or are suspected of illegal or immoral practices, or non-compliance with company rules or relevant regulations.

 

[Trade compliance] We recognize and comply with laws and regulations relevant to import and export trade formulated by the UN and other relevant countries, organizations, and economies, as well as go through the formalities required by relevant government supervision agencies when necessary, so as to maintain international peace and security. Meanwhile, we always require and assist all our stakeholders in the matter of compliance with relevant laws and regulations.

 

[No conflict minerals] We forbid the use of “conflict minerals” (tantalum, tin, tungsten, and gold) extracted or traded under the influence of armed groups in the Democratic Republic of the Congo (DRC) and surrounding areas and the supply of such minerals to any other company. Moreover, all our stakeholders are required to abide by the aforementioned rules.

 

[Intellectual property rights] We endeavor to protect, maintain, and make effective use of our rights to Calterah’s intellectual property. During the development, production, sales, and delivery of products and services, we carry out thorough research to avoid infringing on the intellectual property rights of third parties. Meanwhile, intellectual property information from a third party is always obtained in a fair and legitimate manner.

 

[Trade secrets] We strictly protect technical information, business information, and other trade secrets by establishing a set of trade secret protection mechanisms to ensure that information at different levels of confidentiality can be properly kept; we respect the intellectual property rights and trade secrets of others and prohibit employees from improperly obtaining, disclosing, using, and disposing of others’ trade secrets.

 

[Personal privacy protection] We actively abide by the laws and regulations concerning data security and personal information protection, as well as our internal rules and regulations, and will not, unless necessary, collect, store, and process personal data and information without the consent of employees, customers, and related parties; we ensure that personal data and information are processed in a lawful, open and transparent manner and data subjects can exercise their rights including the right to be informed, the right of access, the right to rectification, the right to be forgotten, and the right to restrict processing, and fully perform our corresponding obligations as a data controller or data processor.

 

[Health and safety] We observe laws, regulations, and internal norms regarding labor relations, occupational safety and health, and take all necessary measures to ensure safety and sanitation to provide a safe and comfortable working environment for all employees. We make great efforts to avoid overwork, conduct regular health checks, and care about employees’ physical and mental health, in a move to help early diagnose and even prevent physical and mental health problems. We actively support our employees to improve their skills and acquire new knowledge, creating an enjoyable working environment where we can grow together.

 

[Environment and sustainability] We will continue to provide global users with higher-performance, easier-to-use, and more power-efficient mmWave radar technology. Environmental protection is an integral part of our business operations, and everyone in Calterah is actively engaged in environmental conservation activities to contribute to a sustainable society.

Calterah upholds the operation notion of honesty, integrity, abidance by law, and regulatory compliance. We welcome and advocate employees and third parties to provide clues and report in a timely manner when discovering internal personnel have or are suspected of illegal or immoral practices, or non-compliance with company rules or relevant regulations and any third party has, or is suspected of a violation of our legitimate rights and interests.
